ASSISTANT MANAGER, COMPANY SECRETARIAL

Assist the CoSec department

Tasks & Responsibilities

a.     Attend Board and Committee meetings including preparing and disseminating notices and agenda of meetings and preparing the minutes of meetings, matters arising reports etc.
b. Liaise with and assist the Group’s Company Secretary and departments in preparing directors / members resolutions / forms and all returns and documents which needs to be lodged with Company Commission Malaysia (CCM) and on other corporate secretarial matters.
c. Ensure compliance with statutory / regulatory requirements and timely submission of all requisite forms, returns and documents and release of announcements to relevant authorities or regulators.
d. Update and maintain as well as take custody of all relevant statutory records, books, forms and documents.
e. Advise the Directors and Officers of the Group on all corporate secretarial matters when required.
f. Liaise with the auditors, lawyers, external advisers and other relevant governmental / statutory authorities on all corporate secretarial matters.
g. Observe, comply and be conversant with all Acts, laws, articles of associations, rules and regulations affecting the Group’s business and all other statutory modifications and reenactments as may be introduced thereto.
h. Familiarise and able to update the Management on current Acts, laws, articles of associations, rules and regulations and all other statutory modifications and reenactments as may be introduced thereto.
i. Performing and coordinating ad hoc projects for the Group, as required by the Management.
j. To carry out any other duties as and when instructed by the Management from time to time.

9. To formulate and execute clear strategies to run the business or operations under your care to achieve the objectives set by your superior(s).
